By accessing and using Prompt Vault ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our Service.

We reserve the right to modify these terms at any time. Your continued use of the Service following any changes constitutes acceptance of the new terms.

2. Description of Service

Prompt Vault provides a platform for users to:

• Discover and explore AI prompts for various tools
• Create, store, and organize personal prompts
• Share prompts with the community
• Create and manage prompt collections
• Access curated prompts for different use cases

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our sole discretion.

4. User Content

Ownership

You retain ownership of the prompts and content you create on Prompt Vault. By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service.

Content Guidelines

You agree not to post content that:

• Is illegal, harmful, or offensive
• Infringes on intellectual property rights
• Contains malicious code or spam
• Impersonates others or is misleading
• Violates any applicable laws or regulations

5. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are owned by Prompt Vault and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent.

6. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to it
• Use automated means to access the Service without permission
• Collect user information without consent
• Resell or redistribute the Service without authorization

7. Payment and Subscriptions

Subscription Plans

Prompt Vault offers both free and paid subscription plans. Paid plans include Pro ($12/month or $120/year) and Enterprise ($49/month or $490/year). By subscribing to a paid plan:

• You authorize us to charge your payment method for the subscription fee
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• You will be charged the then-current subscription fee for your plan
• You can cancel your subscription at any time through your account settings or by contacting support

Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis. If you choose an annual plan, you will be charged the full annual amount at the time of subscription. Renewals occur automatically unless you cancel your subscription.

If payment fails or your subscription is past due, we may suspend or cancel your subscription and access to premium features. You will be notified of any payment issues and given an opportunity to update your payment method.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to premium features until the end of your paid period. No refunds are provided for partial billing periods.

Refunds

We offer a 30-day money-back guarantee on all paid subscriptions. Refund requests must be made within 30 days of your initial subscription purchase. For detailed information about our refund policy, please see our Refund Policy.

Price Changes

We reserve the right to modify subscription prices at any time. If we increase the price of your plan, we will provide at least 30 days' notice via email. Price increases will apply to your next billing cycle. If you do not agree to the new price, you may cancel your subscription before the price change takes effect.

Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing period. Downgrades take effect at the end of your current billing period. No refunds are provided for downgrades.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

IN NO EVENT SHALL PROMPT VAULT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

10. Indemnification

You agree to indemnify and hold harmless Prompt Vault and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Prompt Vault operates, without regard to its conflict of law provisions.
